The parties must attempt in good faith to resolve any dispute between them in connection with this Agreement by negotiation. The following constitute Confidential Information of Customer and should not be disclosed to third parties: the Deliverables, discoveries, ideas, concepts, software in various states of development, designs, drawings, specifications, techniques, models, data, source code, source files and documentation, object code, documentation, diagrams, flow charts, research, development, processes, procedures, know-how, marketing techniques and materials, marketing and development plans, customer names and other information related to customers, price lists, pricing policies and financial information, this Contract and the existence of this Contract, and any work assignments authorized or issued under this Contract. Customer may terminate this Contract and/or an individual project for its convenience, without liability at any time, upon prior written notice to Service Provider.
Right to Disclose. NOTICES AND CHANGE OF ADDRESS
Any notice given under this Agreement must be in writing and, if sent to the last known address or facsimile number of the other party, is deemed to be received:
Three business days after the date of posting, if posted and the date of sending, if sent by facsimile; or
On the next succeeding business day, if received or deemed to be received on a day which is not a business day. ?

We may give or withhold an approval or consent to be given under this Agreement in its absolute discretion. Service provider shall maintain adequate insurance coverage and minimum coverage limits for its business as required by any applicable law or regulation, including Workers Compensation insurance as required by any applicable law or regulation, or otherwise as determined in its reasonable discretion. We recommend that you have an attorney review the terms of any contract your business uses before you sign it. f You must notify Us immediately if any event occurs which would entitle Us to terminate this Agreement or suspend the authorities conferred by this Agreement.

A minimum of $5M public liability insurance. We may terminate this Agreement with immediate effect if You:
Commit any serious or persistent breach of any of the provisions of this Agreement or any policy or procedures or reasonable direction of Us from time to time;
Commit a breach of any of the provisions of this Agreement or any policy or procedures or reasonable direction of Ours (which is not serious or persistent) which You do not remedy within 7 days of receipt of notification from Us (or such later time as agreed by Us);
Either party may terminate this Agreement with immediate effect if:
Being a corporation, a party goes into liquidation or has a receiver or administrator appointed (whether voluntarily or not) or, being an individual, becomes bankrupt;
Being a corporation, a party undergoes a material change in its management, control or beneficial ownership; or

Comply with Our Codes of Practice, systems, policies and procedures as notified to You from time to time;
Comply with any changes to Our systems, policies and procedures provided We have given You at least 30 days written notice of the change;
Comply with any reasonable direction of Ours, including a direction to no longer use certain employees or agents of Yours to provide Your Services, if We reasonably considers the persons involvement may result in a breach of Our Licence;
Comply with the Financial Services Legislation where it applies to Services provided by You to US.
